1. Acceptance of Terms
By accessing or using the Dutiful platform, including the Assist product, API services, and website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
Dutiful provides a customs compliance intelligence platform that includes:
- Assist: An AI-powered question-and-answer interface for customs compliance enquiries
- API: Programmatic access to structured customs data and compliance information
- Additional features as described on our website and product documentation
Our Services provide information based on official government sources. While we strive for accuracy, the information provided should be used as guidance and does not constitute legal or professional customs advice. You should always verify requirements with the relevant customs authority for your specific circumstances.
3. Account Registration
To access certain features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorised access to your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
4. Subscriptions and Payment
Access to the Services is offered through various subscription plans as described on our pricing page. By subscribing, you agree to:
- Pay all fees associated with your selected plan on time and in full
- Provide valid payment information
- Authorise recurring charges for subscription renewals
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
We reserve the right to modify our pricing with 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the Services
- Scrape, crawl, or use automated means to access the Services outside of the API
- Exceed your plan's usage limits or circumvent rate limiting
- Resell, redistribute, or sublicense access to the Services without our written consent
- Use the Services in a manner that could damage, disable, or impair our infrastructure
We reserve the right to suspend or terminate access for any user who violates these restrictions.
6. API Terms
If you use the Dutiful API, the following additional terms apply:
- API access is subject to the rate limits and usage quotas of your subscription plan
- You must keep your API keys secure and not share them publicly
- You may cache API responses for up to 24 hours unless otherwise specified
- You must include appropriate attribution when displaying Dutiful data to end users
- We may modify, deprecate, or discontinue API endpoints with reasonable notice
7. Intellectual Property
The Services and all associated content, features, functionality, trademarks, and trade secrets are owned by Dutiful and are protected by international copyright, trademark, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms. This licence does not include any right to:
- Modify, adapt, or create derivative works of the Services
- Use our trademarks, logos, or branding without written permission
- Claim ownership of the underlying customs data or our proprietary algorithms
You retain ownership of any content you submit through the Services, such as queries and feedback.
8. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Dutiful disclaims all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, completeness, or currency of customs information provided
Customs regulations are subject to frequent change. While we make every effort to keep our data current and accurate, you acknowledge that the information provided through the Services may not always reflect the most recent regulatory changes.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Dutiful and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Costs of delayed or seized shipments
- Customs penalties or fines
- Reliance on information provided through the Services
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Dutiful and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the Services
11. Termination
You may cancel your account at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of your current billing period. Refunds are not negotiable for early exits.
We may suspend or terminate your access to the Services immediately, without prior notice, if you:
- Violate these Terms or our Acceptable Use policy
- Fail to pay applicable fees
- Engage in activity that is harmful to other users or our infrastructure
Upon termination, your right to use the Services will cease immediately. Sections of these Terms that by their nature should survive termination will remain in effect. No refunds will be given for services ceased part way through a billing cycle.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Services shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Services.
Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
